LEASE DEED

THIS LEASE DEED is made and executed on this ____ day of March’ 2025,

 

 

 

 

 

BY AND BETWEEN;

 

M/S. AQUA GREEN EXIM PRIVATE LIMITED, (PAN: ABCCA0763C, CIN: U46300WB2025PTC276146), incorporated under the Companies Act, having its Registered Office at Premises No. 12A, Netaji Subhas Road, Room No. 20, 1st Floor, Kolkata - 700001, West Bengal, Email: aquagreenexim4@gmail.com, represented by its Director ARPITA NASKAR (PAN: AMDPN4201F, AADHAR: 886875046969), Daughter of Sri Dulal Chandra Naskar, residing at Dakshin Chhayani Para, Post Office – Ramkrishna Pally, Police Station – Sonarpur, Kolkata – 700150, District South 24 Parganas, herein after known and referred to as “THE LESSOR”, (which expression shall, unless it be repugnant to the context or its meaning thereof, be Deemed to mean     and include its/his/her/their heirs, executors, legal          representatives, administrators,  and assigns etc.,) of the FIRST PART;

SHRI JAYANTA CHOWDHURY, (PAN : AGEPC7237M), (AADHAR No. 6804 3021 0946), Son of Late Ajay Chowdhury, by faith Hindu, by Occupation Business, Indian Citizen, residing at Premises being No. 44/1A, Shyamnagar Road, Post Office Bangur Avenue, Police Station Dum Dum, District – North 24 Parganas, Pin – 700055, an individual conducting business under the name & style M/s. GLOBAL AQUA, having its principal place of business at Mouza & Village – Nawpala under Saratchandra Gram Panchayet, Police Station - Bagnan, District Howrah, Pin – 711303, hereinafter referred to as the "LESSEE" (which expression shall, unless repugnant to the context, include his/her heirs, legal representatives, successors, and assigns), of the SECOND PART.

 

The Lessor and the Lessee are collectively referred to as "Parties" and individually as "Party."

 

WHEREAS:

The Lessor is the absolute owner and is legally entitled to lease out the property located at (1) ALL THAT piece and parcel of Sali Land measuring an area of 16 (Sixteen) Sataks /Decimals Sali land situated at R.S. No. 504, L.R. Dag No. 547, 16 (Sixteen) Sataks / decimals Sali land situated at R.S. No. 486, L.R. Dag No. 517, 20 (Twenty) Sataks /Decimals Sali Land situated at R.S. No. 555, L.R. Dag No. 553, and 7 (Seven) Sataks / Decimals Sali Land Situated and lying at R.S. No. 547, L.R. Dag No. 586 & 587, Total area of Land is measuring more or less 59 (Fifty Nine) Sataks / Decimals, under the R.S. No. 710, L.R. Khatian Nos. 1774, J.L. No. 25, Mouza – Nawpala, under Sarat Chandra Gram Panchayat, Police Station – Bagnan, District Howrah, within the Jurisdiction of District Registry Office, Howrah, A.D.S.R. Office, Bagnan, Howrah, which has been shown by the RED Border line in the annexed sketch map being Sale by this Deed of Sale together with all easement rights and other advantages thereto. The ground rent is payable to the Government of West Bengal B.L. & L.R.O. – Bagnan – II. (2) ALL THAT piece and parcel of Sali Land measuring an area of 9 (Nine) Sataks / Decimals out of 29 (Twenty Nine) Sataks /Decimals Sali Land situated and lying at R.S. No. 509, L.R. Dag No. 590, 5 (Five) Sataks /Decimals Sali Land out of 15 (Fifteen) Sataks /Decimals situated at R.S. No. 510, L.R. Dag No. 591, 6 (Six) Sataks /Decimals out of 30 (Thirty) Sataks /Decimals Sali Land Situated and lying at R.S. No. 542, L.R. Dag No. 592, 7 (Seven) Sataks /Decimals out of 7 (Seven) Sataks /Decimals Sali Land Situated and Lying at R.S. No. 543, L.R. Dag No. 690, 10 (Ten) Sataks /Decimals out of 44 (Forty Four) Sataks /Decimals situated & lying at R.S. No. 508, L.R. Dag No. 550, and 24 (Twenty Four) Sataks /Decimals out of 120 (One Hundred Twenty) Sataks /Decimals situated at R.S. No. 504, L.R. Dag No. 547. Total measuring more or less an area of 61 (Sixty One) Sataks /Decimals, under the L.R. Khatian No. 1973, J.L. No. 25, Mouza – Nawpala, under Sarat Chandra Gram Panchayat, Police Station – Bagnan, District Howrah, within the Jurisdiction of District Registry Office, Howrah, A.D.S.R. Office Bagnan, Howrah, which has been shown by the RED Border line in the annexed sketch map being Sale by this Deed of Sale together with all easement rights and other advantages thereto. The ground rent is payable to the Government of West Bengal B.L. & L.R.O. – Bagnan – II. Dag No. 591, 6 (Six) Sataks /Decimals out of 30 (Thirty) Sataks / Decimals situated at R.S. No. 542, L.R. Dag No. 592, 11 (Eleven) Sataks /Decimals out of 44 (Forty Four) Sataks /Decimals Sali Land situated and lying at R.S. No. 508, L.R. Dag No. 515, 12 (Twelve) Sataks /Decimals Sali Land situated and lying at R.S. No. 508, L.R. Dag No. 550, 11 (Eleven) Sataks /Decimals Sali Land situated and lying at R.S. No. 544, L.R. Dag No. 585 and 12 (Twelve) Sataks /Decimals Sali land situated at R.S. No. 549, L.R. Dag No. 582 & 583. Total area of Land measuring about more or less 58 (Fifty Eight) Sataks /Decimals, under the L.R. Khatian No. 1774, J.L. No. 25, Mouza – nawpala under Saratchandra Gram Panchayet, Police Station Bagnan, District Howrah, within the jurisdiction of District Reghistry Office Howrah A.D.S.R. Office Bagnan, Howrah, which has been shown by the RED Border line in the annexed sketch map being Sale by this Deed of Sale together with all easement rights and other advantages thereto. The ground rent is payable to the Government of West Bengal B.L. & L.R.O. – Bagnan – II, and (5) ALL THAT piece and parcel of Sali Land measuring more or less an area of 10 (Ten) Sataks /Decimals out of 29 (Twenty Nine) Sataks /Decimals Sali Land situated and lying at R.S. Panchayat Road; ON THE WEST : Cannel;  with the Building and Factory Structures standing thereon as (i) the Building Structure of G + 1, thereon at the East having measurement of 1,500 Sq. ft. at Ground Floor and 1,500 Sq. ft. at First Floor (ii) Factory Shed Structure thereafter having Shed measuring about 28,500 Sq. ft at Ground Floor, (at Back side of the Building Structure) (iii) Machine Room having Shed measuring about 600 Sq. ft at Ground Floor at the South, (iv) Labour Quarter Building Structure G + 2 having 1,500 Sq. ft. at each floor therefore total measuring about 4,500 Sq. ft., Total measuring about 36,600 Sq. ft. Structures, completed on 24/07/2020, having Cemented floor, which the accommodation included (1) Security Room, (2) U/G Water Reservoir and Filter Plant, (3) Boring, (4) Pantry, (5) Mess Room, (6) Occupational Health Center, (7) Cloak Room, (8) R.C.C. Staircase No. -1, (9) R.C.C. Staircase No. -2, (10) Gents Toilet Block -1, (11) 1500 Wide Passage, (12) Gents Toilet Block -2, (13) Ladies Toilet Block -1, (14) Pre Processing Shed (A.C.), (15) Effluent Treatment Plant, (16) 380 KVA Generator, (17) 125 KVA Generator, (18) Electric Sub Station, (19) R.C.C. Staircase No. -3, (20) Pre-processing Hall (A.C.), (20a) Receiving Hall (A.C.), (21) Chill Room -1, (22) Waste Disposal Room, (23) Utensil Wash Room – 1, (24) Tube Ice Room, (25) Utensil Wash Room -2, (26) Flack Ice Room, (27) Chill Room -2, (28) Compressor Room, (29) Ammonia Receiver Shed, (30) In Process Packing Material Store, (30a) IQF Packing Area (A.C.), (31) Processing Hall (A.C.), (32) Cold Store No. 1, (32a) Cold Store No. -2, (33) ANTE Room, (33a) Block Packing Area (A.C.), (34) Daily Packing Material Store, (35) Blast Freezer -1, (36) Blast Freezer -2, (37) Gents Toilet Block -3, (38) Gents Toilet Block -2, (39) Dry Chemical Store, (40) Wet Chemical Store, (41) Waste Disposal Room, (42) Ladies Toilet Block – 3, (43) Gents Toilet Block -4, (44) Drenching Shower & Eye Wash Point, (45) Tube Ice Plant, (46) M.S. Staircase, with all easements together with spaces open to sky, garden, temple, internal road, etc. standing on the Schedule “A” Property.  (hereinafter referred to as the "Demised Premises").

 

AND WHEREAS

The Lessee has approached the Lessor to take the Demised Premises on lease, and the Lessor has agreed to lease out the same on the terms and conditions set forth herein.

 

 

NOW, THEREFORE, in consideration of the mutual covenants and promises, the Parties hereby agree as follows;

 

1. LEASE TERM

 

The lease shall be for a fixed term of three (3) years, commencing from 4th day of March’ 2025 and ending on 4th day of March’ 2028, unless terminated earlier as per the terms hereof.

 

2. RENT

 

The Lessee agrees to pay a monthly rent of Rs. 30,000/- (Rupees Thirty Thousand only) on or before the 10th day of each Calendar month.

 

3. SECURITY DEPOSIT

 

The Lessee shall pay a refundable security deposit of Rs. 1,00,000/- (Rupees One Lakh only) at the time of execution of this lease, which shall be refunded at the end of the lease term after deducting any dues or damages.

 

4. USAGE OF PREMISES

 

The Lessee shall use the Demised Premises strictly for FISH & SEA FOOD PROCESSING purposes and shall not sublet, assign, or transfer the lease or any part thereof without the prior written consent of the Lessor.

 

5. MAINTENANCE AND REPAIRS

 

The Lessee shall maintain the Demised Premises in good condition and shall be responsible for routine repairs. Structural repairs shall be the responsibility of the Lessor.

 

6. TERMINATION

 

Either Party may terminate this Lease Deed by giving a prior written notice of 45 (Forty Five) days. The Lessee shall vacate the premises upon termination and hand over possession to the Lessor in the same condition as received, subject to normal wear and tear.

 

 

 

 

 

7. INDEMNITY

 

The Lessee shall indemnify and hold harmless the Lessor from any claims, damages, or liabilities arising out of the Lessee’s use of the Demised Premises.

 

8. GOVERNING LAW

This Lease Deed shall be governed by and interpreted in accordance with the laws of India.

 

9. DISPUTE RESOLUTION

 

Any disputes arising out of this Lease Deed shall be resolved amicably, failing which the same shall be subject to the jurisdiction of the courts at the City of Kolkata.
