Subject: Request to Withhold the Bank Guarantee related to the Electric Connection for the Factory Premises at Nawpala, Bagnan, District Howrah – 711303;

 

Respected Sir,

 

I, Ms. Arpita Naskar, Director of M/s. Aqua Green Exim Private Limited, a company incorporated under the Companies Act, 2013 (PAN: ABCCA0763C, CIN: U46300WB2025PTC276146), having its Registered Office at 12A, Netaji Subhas Road, Room No. 20, 1st Floor, Kolkata – 700001 and Factory Premises at Village & P.O. Nawpala, P.S. Bagnan, District Howrah – 711303, West Bengal, respectfully submit as follows;

 

1. That our Company has purchased the said Processing Factory Premises at Village & P.O. Nawpala, P.S. Bagnan, District Howrah – 711303 from M/s. Global Aqua (a Proprietorship Firm) represented by its Proprietor Shri Jayanta Chowdhury.

 

2. That prior to the purchase of the aforesaid premises by our Company, a Bank Guarantee was submitted to WBSEDCL by M/s. Global Aqua for obtaining the electric connection for the said premises and the same is still subsisting.

 

3. It has recently come to our knowledge that Shri Jayanta Chowdhury, Proprietor of M/s. Global Aqua, has initiated steps to withdraw the said Bank Guarantee from WBSEDCL, which is impermissible and contrary to the contractual and legal obligations.

 

4. The said Bank Guarantee is the subject matter of the Quadripartite Agreement executed between Canara Bank, Global Aqua, Aqua Green Exim Private Limited and UCO Bank, and as per the terms and conditions thereof, the said Bank Guarantee shall constitute security in favour of M/s. Aqua Green Exim Private Limited.

 

5. In view of the unlawful attempt to withdraw or release the said Bank Guarantee, a Writ Application under Article 226 of the Constitution of India has already been filed before the Hon’ble High Court at Calcutta, which is pending adjudication vide WPA/27471/2025.
6. In these circumstances, release/withdrawal of the said Bank Guarantee at the behest of Shri Jayanta Chowdhury or M/s. Global Aqua will cause grave and irreparable loss, injury and prejudice to our Company and will adversely affect our business and secured interest.

 

Therefore, through this letter, you are most humbly requested to kindly withhold and refrain from releasing the said Bank Guarantee to anyone until the final disposal of the aforesaid writ application pending before the Hon’ble High Court at Calcutta.

 

We shall duly communicate any further direction/orders that may be passed by the Hon’ble High Court, if any, in the said matter.
