Extension Petition of Stay Order dated 20-12-2024;

 

The humble petition of the above named Plaintiff, most respectfully;

Sheweth as under;

 

1.   That the Plaintiff instituted the above referred Suit for Permanent Injunction restraining Infringement of Copyrights, Damages, Rendition of Accounts of Profits, Delivery Up, etc. under Section 55 of the Copyright Act 1957, against the Defendant, before the Learned Court. The Plaintiff also placed an application under Order 39 Rule 1 & 2, read with Section 151 of the Civil Procedure Code’ 1908, for an order for ad-interim injunction restraining the Defendant, his partners, proprietors, his officers, servants, agents, men and all persons, firms, corporations, and associations in active concert or participation with the defendant from photocopying / reproducing and issuing illegal / unauthorized copies of the plaintiff’s publication or substantial portion thereof, including but not limited to publication of the plaintiff included in Annexure – “A’ in any manner whatsoever, and / or from doing any other act amounting to infringement of the Plaintiff’s copyright, till the disposal of the present suit, in the interest of administration of Justice.

 

 

 

 

 

 

2.   That the said application under Order 39 Rule 1 & 2, read with Section 151 of the Civil Procedure Code’ 1908, has been heard by the Learned Court on 20th day of December’ 2024, and the Learned Court was pleased to pass necessary order of ad-interim injunction is allowed in favour of the plaintiff for a restricted period till 20-01-2025, vide Order dated 20-12-2024. The operative paragraph of the Order dated 20-12-2024, is reproduced herein as follows;

 

“The defendant and his partners, proprietors, men and/or agents are, hereby retrained from producing and/or issuing unauthorized copies of the Plaintiff’s publication or any part thereof as per Schedule –“A” of the instant application and/or from infringing the copyright of the Plaintiff’s literary work/ drama till 20-01-2025”.

 

3.   That the Plaintiff states and submit that the Plaintiff has communicated the said Order dated 20-12-2024, to the Plaintiff with the copy of the Plaint as well as the copy of the application for ad-interim injunction and the copies of the documents relied on by the plaintiff, which the defendant is in receipt of the communication of the said Order dated 20-12-2024, and removing the said alleged video from his youtube channel, but at the same time after few days later it has been observed that the defendant through some other person trying to play the said purported alleged video through the different means of Social media i.e. Facebook, etc.

 

4.   That therefore the Plaintiff seeks the extensions of the said Order of Stay dated 20-12-2024, passed in Title Suit no. 09 of 2024, till the disposal of the present Suit, in the interest of administration of Justice.

 

5.   That unless, the Learned Court grant extensions of the said Order of Stay dated 20-12-2024, passed in Title Suit no. 09 of 2024, till the disposal of the present Suit, the Plaintiff will highly prejudice and suffered with irreparable loss and injury thereof.

 

 

 

 

 

6.   That this application is made bonafide and in the interest of administration of Justice.

 

It is therefore prayed that your Honour would graciously be pleased to allow this application and to extend the Order of Stay dated 20-12-2024, passed in Title Suit no. 09 of 2024, till the disposal of the present Suit, in the interest of administration of Justice, and /or to pass such other necessary order or orders as your Honour may deem, fit, and proper for the end of Justice.

 

And for this act of kindness, the Petitioner as in duty bound shall ever pray.

AND WHEREAS

The Lessee has approached the Lessor to take the Demised Premises on lease, and the Lessor has agreed to lease out the same on the terms and conditions set forth herein.

 

 

NOW, THEREFORE, in consideration of the mutual covenants and promises, the Parties hereby agree as follows;

 

1. LEASE TERM

 

The lease shall be for a fixed term of three (3) years, commencing from 4th day of March’ 2025 and ending on 4th day of March’ 2028, unless terminated earlier as per the terms hereof.

 

2. RENT

 

The Lessee agrees to pay a monthly rent of Rs. 30,000/- (Rupees Thirty Thousand only) on or before the 10th day of each Calendar month.

 

3. SECURITY DEPOSIT

 

The Lessee shall pay a refundable security deposit of Rs. 1,00,000/- (Rupees One Lakh only) at the time of execution of this lease, which shall be refunded at the end of the lease term after deducting any dues or damages.

 

4. USAGE OF PREMISES

 

The Lessee shall use the Demised Premises strictly for FISH & SEA FOOD PROCESSING purposes and shall not sublet, assign, or transfer the lease or any part thereof without the prior written consent of the Lessor.

 

5. MAINTENANCE AND REPAIRS

 

The Lessee shall maintain the Demised Premises in good condition and shall be responsible for routine repairs. Structural repairs shall be the responsibility of the Lessor.

 

6. TERMINATION

 

Either Party may terminate this Lease Deed by giving a prior written notice of 45 (Forty Five) days. The Lessee shall vacate the premises upon termination and hand over possession to the Lessor in the same condition as received, subject to normal wear and tear.

 

 

 

 

 

7. INDEMNITY

 

The Lessee shall indemnify and hold harmless the Lessor from any claims, damages, or liabilities arising out of the Lessee’s use of the Demised Premises.

 

8. GOVERNING LAW

This Lease Deed shall be governed by and interpreted in accordance with the laws of India.

 

9. DISPUTE RESOLUTION

 

Any disputes arising out of this Lease Deed shall be resolved amicably, failing which the same shall be subject to the jurisdiction of the courts at the City of Kolkata.

TAKEOVER AGREEMENT
(Between a Proprietorship Firm and a Private Limited Company)

This Takeover Agreement ("Agreement") is made and entered into on this ___ day of __, 20, by and between:

  1. [Name of Proprietor], an individual conducting business under the name [Name of Proprietorship Firm], having its principal place of business at [Address], hereinafter referred to as the "Proprietor" (which expression shall, unless repugnant to the context, include his/her heirs, legal representatives, successors, and assigns);

AND

  1. [Name of Private Limited Company], a company incorporated under the Companies Act, 2013, having its registered office at [Address], hereinafter referred to as the "Company" (which expression shall, unless repugnant to the context, include its successors and assigns).

WHEREAS:

A. The Proprietor is the sole owner of the Proprietorship Firm engaged in the business of [Nature of Business] and has agreed to transfer all its assets, liabilities, rights, and obligations to the Company. B. The Company desires to acquire and continue the business of the Proprietorship Firm as a going concern under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. TAKEOVER OF BUSINESS

1.1 The Proprietor hereby agrees to transfer, assign, and vest in the Company, and the Company agrees to acquire, the entire business of the Proprietorship Firm as a going concern. 1.2 The takeover shall include all tangible and intangible assets, goodwill, intellectual property, contracts, licenses, trade receivables, bank accounts, inventories, and liabilities of the Proprietorship Firm.

2. CONSIDERATION

2.1 The total consideration for the transfer shall be INR [Amount], payable by the Company to the Proprietor in cash/equity shares/other mutually agreed terms. 2.2 The Proprietor shall execute all necessary documents to effectuate the transfer and issue a No Objection Certificate (NOC) in favor of the Company.

3. TRANSFER OF EMPLOYEES

3.1 The Company shall have the right to retain existing employees of the Proprietorship Firm under terms mutually agreed upon. 3.2 The Proprietor shall ensure that all statutory dues, including provident fund, gratuity, and salary payments, are cleared up to the date of takeover.

4. TRANSFER OF LIABILITIES

4.1 The Company shall assume all disclosed liabilities of the Proprietorship Firm from the effective date of takeover. 4.2 Any undisclosed or contingent liabilities arising from acts or omissions before the takeover shall remain the sole responsibility of the Proprietor.

5. REPRESENTATIONS AND WARRANTIES

5.1 The Proprietor represents and warrants that:

  • The Proprietorship Firm is free from any legal encumbrances or undisclosed liabilities.
  • All licenses and approvals necessary for the business are valid and in good standing. 5.2 The Company represents and warrants that:
  • It has the authority to enter into this Agreement and execute the takeover.
  • It shall comply with all statutory requirements related to the takeover.

6. INDEMNITY

6.1 The Proprietor agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from the business operations before the date of takeover. 6.2 The Company agrees to indemnify and hold the Proprietor harmless from any liabilities arising after the takeover.

7. EFFECTIVE DATE & CLOSING

7.1 The takeover shall be effective from [Effective Date]. 7.2 The Proprietor shall hand over all books of accounts, records, and necessary documents to the Company on or before the closing date.

8. CONFIDENTIALITY

Both parties agree to maintain confidentiality regarding the terms of this Agreement and any proprietary business information.

9. DISPUTE RESOLUTION

Any disputes arising from this Agreement shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The venue for arbitration shall be [City].

10. GOVERNING LAW

This Agreement shall be governed and construed in accordance with the laws of India.

11. MISCELLANEOUS

11.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, representations, or understandings. 11.2 No modification shall be valid unless made in writing and duly signed by both parties.
